Terms of Service

By downloading, accessing, or using the Hawkerbay platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform. These Terms constitute a legally binding agreement between you and Emplug Ltd. ("Hawkerbay," "we," "us," or "our").

Hawkerbay is a digital marketplace that connects local street vendors ("Vendors") with buyers ("Buyers") within geographic proximity. The Platform enables product listings, in-app chat-based negotiations, location-based discovery, and facilitation of delivery logistics. Hawkerbay acts solely as an intermediary and is not a party to any transaction between Vendors and Buyers.

• You must be at least 18 years of age to create an account and use the Platform.

• By registering, you represent and warrant that all information you provide is accurate, current, and complete.

• Accounts are personal and non-transferable. You are responsible for all activity that occurs under your account.

• We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

To access core features of the Platform, you must register for an account by providing a valid email address or phone number and creating a secure password. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at support@hawkerbay.com if you suspect any unauthorized access to your account.

• Vendors must provide accurate descriptions, pricing, and availability for all listed products.

• Vendors are solely responsible for the quality, legality, and safety of items listed on the Platform.

• Vendors must honour agreed prices and delivery commitments made through the Platform.

• Hawkerbay reserves the right to remove listings that violate our policies or applicable law.

• Vendors may not list counterfeit goods, prohibited substances, weapons, or any item whose sale is restricted by Nigerian law or international trade regulations.

• Buyers must provide accurate delivery addresses and contact information for each order.

• Buyers agree to pay the negotiated price before or upon delivery as agreed with the Vendor.

• Buyers must not engage in fraudulent chargebacks, false dispute claims, or abuse of the refund process.

• Buyers are responsible for inspecting goods upon delivery and raising concerns promptly.

• Posting false, misleading, or deceptive product listings or reviews.

• Harassing, threatening, or abusing other users through in-app chat or any other channel.

• Attempting to circumvent our platform fees by conducting transactions outside of Hawkerbay.

• Uploading malware, spam, or any content designed to disrupt the Platform.

• Impersonating another person, business, or entity on the Platform.

• Using automated bots or scrapers to access Platform data without prior written consent.

Hawkerbay may charge service fees to Vendors on completed transactions. Fee structures will be communicated in-app and updated with reasonable notice. All payments processed through the Platform are subject to our payment partner's terms. Hawkerbay is not liable for payment failures caused by third-party payment processors.

Hawkerbay facilitates connections between Vendors and local delivery riders but does not employ or control delivery personnel. Delivery timelines, costs, and conditions are agreed upon between Vendors and Buyers. Hawkerbay is not liable for delays, damaged goods, or failed deliveries caused by third-party logistics providers.

All content on the Platform — including logos, trademarks, UI design, and software — is the intellectual property of Emplug Ltd. or its licensors. You may not reproduce, distribute, or create derivative works from Platform content without prior written permission. By uploading content (photos, descriptions) to the Platform, you grant Hawkerbay a non-exclusive, royalty-free licence to display that content in connection with the Platform.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind. To the maximum extent permitted by law, Hawkerbay shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of — or inability to use — the Platform, including but not limited to loss of profits, data, or goodwill.

Any dispute arising out of or relating to these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Lagos Court of Arbitration rules. These Terms are governed by the laws of the Federal Republic of Nigeria.

We may update these Terms from time to time. Material changes will be communicated via in-app notification or email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
